AFC Leopards set new AGM date with hybrid format to ensure quorum

Ingwe have rescheduled their AGM due to a lack of quorum offering a hybrid meeting format to boost member participation.

AFC Leopards have announced a new date for their Annual General Meeting (AGM) for the financial year ending 31st December 2023.

Originally scheduled for 30th June 2024, the meeting was adjourned due to a lack of quorum, as per Article 10.5 of the club's Constitution.

The rescheduled AGM will now take place on Sunday, 14th July at 10:00 am at the Nyayo National Stadium Handball Court.

In a statement, Leopards Secretary General Gilbert Andugu said members can attend either physically or virtually, with an online link to be provided.

"The meeting will be both Physical and Virtual (The online link will be provided)," the statement reads in part.

This ensures that all members, regardless of their location, can participate in this critical meeting.

The agenda for the AGM includes several essential items and it will begin with the reading of the notice convening the meeting, followed by the confirmation of the minutes from the 2023 AGM.

Members will then receive the chairman's report, which is expected to cover significant developments and achievements of the club over the past year.

Additionally, the meeting will consider and adopt the financial statements for the year ended 31st December 2023, along with the auditor's report on these statements.

One of the critical decisions to be made during the AGM will be the appointment of independent auditors for the club for the year ending 31st December 2024.

The need to reschedule the AGM arose after the initial meeting on 30th June failed to meet the required quorum.

According to the latest AFC Leopards register of members for 2024, prepared and published by the National Executive Committee on June 28th, the club has a total of 5,688 registered members.

For the AGM to proceed, at least 1,896 members were needed to attend either virtually or physically.

Present at the previous meeting was the Sports Registrar, Rose Wasike, who advised the club to follow the constitution diligently during such important decision-making meetings.

The club’s National Executive Committee, who were all present at the Kasarani Auditorium Indoor Arena, emphasised the importance of adhering to the constitutional guidelines to ensure the club's smooth operation.

The adjournment has given the club another chance to engage its members more effectively.

The hybrid nature of the rescheduled meeting combining both physical and virtual attendance is expected to boost participation and ensure that the quorum is met this time around.
